1.1.1 sales support

1.1.2 Terms of Sale
1.1.2.1 Quotation / order
a. Without permission in written agreement, all the quotation from ProSense is not binding and subject to change.
b. Without the written confirmation of ProSense 's authorized representatives it shall not be considered that ProSense has accepted the order. The usual form for ProSense to accept orders is to issue a proforma invoice or provide an order confirmation.
c. The buyer shall promise to ProSense that its order as well as the current product specifications provided is correct, and shall provide ProSense with any necessary information related to the ordered products within a reasonable period of time so as to enable ProSense to fulfill the delivery obligations according to the provisions of the general terms and conditions.
d. The quantity, quality and specification of the products ordered shall be consistent with the quotation of ProSense.
e. The buyer shall not cancel the orders that have been accepted by ProSense, unless ProSense consents in writing. But in this case, the buyer shall fully compensate to the ProSense for all the losses and costs resulting from the order cancellation.
f. ProSense shall have the right to make any changes to the product specifications according to the requirements of the current standards of the People's Republic of China.
1.1.2.2 price
a. The product price shall be the selling rate of ProSense. All the quotations are valid only within 30 days or by the time when the buyer accepts them before the above-mentioned expiration date. After the period of validity, ProSense may change the quotations at any time without notice to the buyer.
b. Unless otherwise stipulated in the general terms and conditions attached to the seller's quotations or the price list, or, otherwise agreed in writing between the seller and the buyer, all the seller's quotations shall be the factory price.
c. If the following causes for higher costs appear, ProSense shall be entitled to raise the prices relevantly at any time before the delivery of the goods under the premise of notifying the buyer: factors uncontrollable for ProSense, the buyer putting forward other requirements for the product quantity and specifications, any changes of the time of delivery, or any delay caused by buyer's failure to provide the appropriate data and instructions.
1.1.2.3 Payment terms
a. All payments shall be remitted by the buyer to the account specified in the product purchase and sale contract by ProSense. With the written consent of ProSense, a cheque or any other means of payment is acceptable. All fees due to choosing other modes of payment shall be borne by the buyer.
b. All the orders must be 100%prepaied without extra notice.
c. If the buyer fails to pay within the stipulated time and by the end of the reasonable grace period set by the seller, the seller has the right to stop further deliveries to the buyer and demand the buyer to pay 0.03% daily interests on arrears in accordance with the non-payment before paying the full amount.
1.1.2.4 Delivery
a. In case of the occurrence of inevitable causes, the time of delivery as agreed upon by both parties can be appropriately extended. The causes include but not limited to: force majeure, act of the government, labor dispute, material shortage, energy supply problems or traffic congestion. ProSense shall inform the buyer of the causes in a timely manner. In this case, ProSense is not liable for violating the general terms and conditions.
b. Under the situation of reasonably notifying the buyer, ProSense can deliver the goods in advance before the delivery time.
1.1.2.5 Controversies
Any the controversies, disputes or claims related to the contractual relationship between the two parties shall be settled through friendly negotiation. If an agreement still cannot be reached through consultation, the matter shall be submitted to the people's court with jurisdiction at the location of ProSense.
1.1.2.6 Notes
If the terms of sale have conflict with the written contract clauses signed by both parties, the latter shall prevail.

Distributor: ProSense actively develops distributors with strength and integrity, and customers can order the products they need through the distributors authorized by ProSense.
Online sales: ProSense has a professional platform for e-commerce, and customers can order online the products they need through the ProSense e-commerce website.
